Payment Terms
The Total Fees will be invoiced prior to the scheduled Vertica Training Session and are due in full within 30 days of the Invoice Date. All fees are payable in US dollars and are non-refundable and non-cancellable. Any amount not paid when due shall bear a late payment charge, until paid, at the rate of 1.5% per month or the maximum amount permitted by law, whichever is less. Licensee agrees to reimburse Vertica for all costs (including attorney’s fees) incurred in collecting late payments.

Taxes
Any amounts payable hereunder are exclusive of, and Licensee shall be responsible for, all sales taxes, value added taxes, duties, use taxes, withholdings and other governmental assessments, excluding taxes based on the net income of Vertica, unless Licensee provides to Vertica a valid tax-exempt certificate.

I represent and warrant that I am authorized to execute this Order on behalf of Licensee and agree to the fees and payment terms outlined above.
